Welcome to the mobile application Invoice Bear (the “App”) provided by Bear HQ Inc. (“Bear HQ,” “we,” “us,” or “our”). These Terms & Conditions (the “Terms”) govern your use of our invoicing and payments App, including all related services, features, and content (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Services.

2. Eligibility

1. Age Requirement: You must be at least 18 years old to use our Services.

2. Legal Capacity: By agreeing to these Terms, you confirm you have the legal capacity to enter into a binding contract in your jurisdiction.

3. Description of Services

Bear HQ Inc. provides a mobile application for creating invoices, receiving payments, and managing financial transactions. Our Services may integrate with third-party platforms, including (but not limited to) Stripe Connect, Stripe Issuing, Mixpanel, Google Apps, Firebase, SendGrid, and RevenueCat (collectively, “Third-Party Services”). These integrations enable features such as payment processing, analytics, user authentication, email communications, and subscription management.

4. Account Registration & Security

1. Account Creation: Certain features require you to create an account. You agree to provide accurate and complete information.

2. Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3. Unauthorized Access: You agree to notify us immediately if you suspect any unauthorized use of your account.

5. Payments & Fees

1. Stripe Integration: Payments through our App are processed using Stripe Connect and Stripe Issuing. You acknowledge and agree to comply with Stripe’s terms and policies in addition to these Terms.

2. Fees: Certain premium features or subscriptions may require the payment of fees. If you choose to upgrade to such features, you authorize us (or our payment processor) to charge your provided payment method.

3. Refunds: All payments are non-refundable unless otherwise stated by law or explicitly stated in a separate refund policy.

4. Billing & Renewals: Subscriptions may automatically renew unless canceled prior to the next billing date. You can manage or cancel your subscription through your account settings or by contacting support.

6. Use of Third-Party Services

Our Services may link to, or otherwise utilize, third-party platforms such as Mixpanel (analytics), Firebase (database and authentication), Google Apps (cloud services), SendGrid (email services), and RevenueCat (subscription management). Your use of these Third-Party Services is subject to their respective terms and conditions and privacy policies. We do not control these services and are not responsible for their actions or inactions.

7. User Conduct

You agree not to:

• Use the Services for any illegal, harmful, or fraudulent purpose;

• Interfere with or disrupt the integrity or performance of the Services;

• Upload or transmit viruses, malware, or other malicious code;

• Violate any applicable laws or regulations in your jurisdiction;

• Use any automated means (e.g., bots, scrapers) to access or collect data from the Services without our express permission; or

• Infringe any third party’s rights, including intellectual property or privacy rights.

8. Intellectual Property

1. Ownership: All content, logos, trademarks, software, and related materials in the Services (collectively, “Content”) are owned or licensed by Bear HQ Inc.

2. License: We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services solely for personal or internal business use.

3. Restrictions: You may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, or sell any Content without express written permission from Bear HQ Inc.

9. Data & Privacy

Your privacy is important to us. For details on how we collect, store, and process your personal information, please review our Privacy Policy. By using our Services, you consent to the collection and use of your information as outlined therein.

10. Disclaimers

1. “As Is” Basis: The Services are provided on an “as is” and “as available” basis without warranties of any kind, express or implied.

2. No Guarantee: We make no guarantee that the Services will meet your requirements, be error-free, or operate without interruption.

3. Third-Party Services: We do not warrant or endorse Third-Party Services. Any use of third-party platforms is at your own risk.

11. Limitation of Liability

To the fullest extent permitted by law, Bear HQ Inc. and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or related to your use of (or inability to use) the Services.

12. Indemnification

You agree to defend, indemnify, and hold harmless Bear HQ Inc. and its employees, contractors, and agents from and against all claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in connection with your violation of these Terms or your misuse of the Services.

13. Termination

1. Termination by You: You may stop using the Services at any time. If you wish to delete your account, contact us at support@bearhq.com.

2. Termination by Us: We reserve the right to suspend or terminate access to the Services at any time for any reason, including if we believe you have violated these Terms.

3. Effect of Termination: Upon termination, all licenses and rights granted to you under these Terms will immediately cease. Sections regarding liability and indemnification will survive termination.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of laws rules. Any dispute arising out of or related to these Terms or the Services will be resolved in the state or federal courts located in Delaware, and you consent to the jurisdiction of such courts.

15. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email (if we have your email address) or by posting an update notice in the App. Continued use of the Services after any such changes constitutes your acceptance of the revised Terms.

16. Miscellaneous

• Entire Agreement: These Terms, along with the Privacy Policy, constitute the entire agreement between you and Bear HQ Inc. regarding the Services.

• Severability: If any provision is deemed invalid, the remaining provisions remain in full force.

• No Waiver: Our failure to enforce any part of these Terms is not a waiver of our right to later enforce that or any other part.

• Assignment: We may assign our rights under these Terms without restriction. You may not assign your rights without our prior written consent.
